END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“Licensee,” “you,” or “your”) and Hugin Mugin Research (“Licensor,” “we,” “us,” or “our”) for the use of Document and Spreadsheet templates (“Templates” or “Licensed Materials”).
BY DOWNLOADING, INSTALLING, OR USING THE TEMPLATES, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, OR USE THE TEMPLATES.
1. Definitions
1.1 “Template” means the document, presentation or spreadsheet file(s) and any associated documentation, styles, macros, or supplementary materials provided by Licensor.
1.2 “End Product” means any document or file created by you using the Template for your legitimate business, academic, regulatory, or professional purposes.
1.3 “Template Files” means the original files as provided by Licensor, including all embedded styles, formatting, placeholders, formulas, macros and structural elements.
2. Grant of License
2.1 License grant
Subject to the terms of this Agreement, Licensor grants you a non-exclusive, non-transferable, revocable license to:
a) Download and install the template(s) on devices you own or control.
b) Use the template(s) to create unlimited End Products for your own use or your organization’s use.
c) Modify and customize the Template content, formatting, and structure for your specific needs.
d) Share, distribute, or publish End Products created using the Template(s).
2.2 License scope
This license is granted for:
• Single User License: Use by one individual (default)
• Organizational License: Use by employees/members of the purchasing organization (if specifically purchased as such)
3. Permitted Uses
3.1 You MAY use the Template to create End Products for:
• Your own research, regulatory, quality management, or professional work
• Your employer or organization (if within scope of organizational license)
• Clients or collaborators as part of your professional services (the End Product, not the Template Files).
3.2 You MAY modify, customize, and adapt the Template content and formatting to meet your specific needs.
3.3 You MAY share End Products (completed documents) created using the Template without restriction.
4. Restrictions and prohibited uses
4.1 Redistribute, resell, lease, license, sublicense, or otherwise transfer the Template Files to any third party, whether for commercial purposes or free of charge.
4.2 Share, upload, or provide access to the Template Files through file-sharing services, template libraries, online repositories, or any other distribution method.
4.3 Bundle the Template Files with other products or services for resale or distribution.
4.4 Use the Template Files to create derivative template products for sale or distribution to others.
4.5 Claim the Template or any portion thereof as your own original work.
4.6 Use the Template in any manner that violates applicable laws, national or international regulations, or infringes upon third-party rights.
4.7 Remove, disable, or circumvent any license management, watermarking, or protective features embedded in the Template.
5. Disclaimer and Limitation of Liability
5.1 Disclaimer. The Licensed Templates are productivity tools and do not constitute medical, legal, regulatory, scientific, statistical, or analytical advice. The Licensee is solely responsible for the accuracy, completeness, and regulatory adequacy of all End Products, including but not limited to compliance with the requirements of notified bodies, competent authorities, ethics committees, institutional review boards, journal editors, publishers, employers, and any other reviewing or governing body. Licensor makes no warranty that End Products created using the Templates will be accepted, approved, or published by any such body.
5.2 Limitation of liability. To the maximum extent permitted by applicable law, Hugin Mugin Research shall not be liable for any errors, nor for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, data, use or goodwill arising out of or related to this agreement or use of the Templates. Licensor’s total cumulative liability under this Agreement shall not exceed the amount paid by you for the Template(s).
6. Refunds and Right of Withdrawal
6.1 The Templates are digital content delivered electronically. In accordance with Article VI.53, 13° of the Belgian Code of Economic Law (transposing Directive 2011/83/EU on Consumer Rights), the Licensee expressly consents to immediate delivery and acknowledges that the right of withdrawal is forfeited upon commencement of the download. By completing the purchase and downloading the Template Files, the Licensee waives the 14-day right of withdrawal.
6.2 No refunds will be issued once the download has commenced, except where required by mandatory applicable law or where the Template Files are demonstrably defective and Licensor is unable to provide a working replacement within a reasonable time.
7. Data Protection
7.1 The Template Files themselves contain no personal data and do not collect, transmit, or process any personal data during use.
7.2 Licensor processes personal data of the Licensee (name, contact details, transaction data) solely for the purpose of order fulfilment, invoicing, customer support, and compliance with legal obligations, in accordance with Regulation (EU) 2016/679 (GDPR) and Belgian data protection law. 7.3 Any personal data the Licensee subsequently enters into End Products is processed under the Licensee’s own responsibility as data controller.
8. Intellectual Property Rights
8.1 Ownership. The Template and all intellectual property rights therein remain the exclusive property of Licensor. This Agreement does not transfer any ownership rights to you.
8.2 Copyright Notice. You must not remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Template Files.
8.3 Attribution. While not required in End Products, attribution to Hugin Mugin Research is appreciated and may be included as: “Created using templates from Hugin Mugin Research (hmresearch.eu)”.
9. Term and Termination
9.1 This Agreement is effective from the date of download and remains in force for an indefinite period, subject to the terms below.
9.2 Licensor may terminate this Agreement with immediate effect if the Licensee materially breaches any provision, in particular the restrictions set out in Section 4 (Restrictions and Prohibited Uses). Termination does not entitle the Licensee to any refund.
9.3 Upon termination, the Licensee shall cease all use of the Template Files and delete all copies in their possession or control. End Products created in compliance with this Agreement prior to termination may continue to be used.
9.4 Sections 4 (Restrictions), 5 (Disclaimer and Limitation of Liability), 7 (Data Protection), 8 (Intellectual Property Rights), and 11 (Governing Law) survive termination.
10. General Provisions
10.1 Severability. If any provision of this Agreement is held by a competent court to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, severed from this Agreement. The remaining provisions shall continue in full force and effect.
10.2 Entire Agreement. This Agreement constitutes the entire agreement between the Licensee and Licensor concerning the Templates and supersedes all prior or contemporaneous communications, representations, proposals, or agreements, whether oral or written. Any amendment must be in writing and signed by Licensor to be effective. No statements, promises, or representations made by Licensor’s employees, agents, or affiliates outside this Agreement form part of the contract.
10.3 Assignment. The Licensee may not assign, transfer, or sublicense any rights or obligations under this Agreement without the prior written consent of Licensor. Licensor may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.
10.4 AI and Machine Learning. The Template Files may not be used, in whole or in part, to train, fine-tune, evaluate, or develop any artificial intelligence or machine learning model, nor to generate training datasets for such purposes, without the prior written consent of Licensor. This restriction applies in addition to the restrictions set out in Section 4.
10.5 Updates. Licensor may, at its sole discretion, release updates or new versions of the Templates. Minor corrections and clarifications are provided free of charge to existing Licensees; major new versions may be offered as separate products at additional cost.
11. Governing Law
All versions of this EULA, any amendment hereof, any waiver or consent hereunder and any claims resulting here from shall be governed by Belgian law. The place of jurisdiction in case of disputes shall be the competent courts of Antwerp, Belgium.
12. Acknowledgement
BY USING THE TEMPLATES, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
